Shelf Companies FAQ

Why are shelf companies popular?

• The company already exists - you do not have to go through an incorporation process. This saves time and trouble.

• A Company registered in a tax free or a low tax country can be used to reduce overall tax liability.

• Mature Shelf Companies can assist in establishing a history to your structure, which may be of assistance in particular cases e.g. in predating or postdating contractual relationships.

• Mature Shelf Companies often have pre-existing banking arrangements and a trading and taxpaying history, which may be important in confidence-building.

• Foreign ownership of real estate and/or sensitive industries in certain countries is often unnecessarily bureaucratic and difficult, it is often much simpler to use a locally registered company in that country to become a registered owner.

Are Shelf Companies more expensive than newly incorporated companies?

Relevant price factors for shelf companies relate to the age and the work expended in the company to provide it with certain facilities. A Shelf Company incorporated very recently should not be more expensive than a newly incorporated company. Mature companies will always be more expensive than newly formed companies. Some companies may have a trading history, some may not. Each year that the company exists, it is subject to government fees and running costs. The price of a Mature Shelf Company includes an aggregate of these costs. Mature Shelf Companies can  often include some or all of the following:

• VAT registration in the EU

• Bank account facilities and established banking relationship

• Trading licenses

• Tax exemption and/or government fees already paid

• Full offshore package to go with the company e.g. local board of directors, corporate secretary (the person/company responsible for maintaining the company’s statutory records), Registered Office, point of contact/message taking etc.
